CONSTITUTION AND BY-LAWS
of KNIGHT MASONS ASSOCIATION
of NORTH CAROLINA

CONSTITUTION


Whereas: The Grand Council of Knight Masons of the United States of America meets only once per year to conduct its business.

And Whereas: There are now four Councils of Knight Masons in North Carolina which are scattered throughout the state.

And Whereas: It is necessary that these Councils be able to communicate with one another.

Be It Therefore Resolved: That an association of these and any future Councils be formed for the purpose of gaining a consensus for actions to be taken or ideas to be brought before the Grand Council at its Annual Meeting.


BY-LAWS

Article Number I, NAME
The name of this organization shall be:
"KNIGHT MASONS ASSOCIATION OF NORTH CAROLINA.

Article Number II, MEETINGS
There shall be at least one regular meeting each year to be held at a time and place to be determined by the Association President. This meeting shall be the Annual meeting at which Officers are installed. Such other meetings as may be deemed necessary may be called by the President who shall give due and timely notice to the member Councils.

Article Number III, OFFICERS
Control of this Association shall be in the hands of the Excellent Chiefs of the member Councils, one of whom shall be its President. The Presidency shall rotate from Council to Council with Saint Patrick's in America #1 holding office the year following adoption of these By-Laws and rotating in numerical order thereafter. The remaining Excellent Chiefs shall act in an advisory status to the President and shall assist him in his office. The only elected officer shall be the Association Secretary-Treasurer who shall be elected and installed at the Annual Meeting.

The Officers of the Association shall appoint, with final approval resting in the hands of the President, such committees as may be deemed prudent and necessary.

Article IV, MEMBERSHIP
Membership in the Association shall be limited to members in good standing in the various Knight Masons Councils in North Carolina. All such members present at a meeting of the Association shall have a vote in its proceedings.


Article V, DUES
Each member Council shall contribute $25.00 per year for the support of the Association.(2002)

Article VI, AMENDMENTS
These By-Laws may be amended by a two-thirds vote of the members attending the Annual Meeting, providing the various councils shall have been notified in writing at least 90 days in advance of such Annual Meeting. Otherwise the proposal shall lay over to the next Annual Communication.
